Vendor Legalease

A duly licensed purveyor of goods or services by the State of Arizona, hereinafter referred to as the Vendor, constitutes a complete and binding agreement between the parties.

This agreement shall become effective upon execution by the parties and the payment of such fees as are set forth herein by the Vendor, and shall be effective until the event known as the Helzarockin’ Gem & Mineral Show. No provisions of this agreement may be amended by any parties of WVRMC or the Vendor in any written or verbal form except by addendum to this agreement duly executed by both parties. Vendor warrants that business conducted on the premises shall be lawfully conducted, observing all public safety, environmental and fire protection regulations of the City of Buckeye, State of Arizona. Failure to obey laws, statutes and regulations of said governmental bodies shall constitute a breach of contract and shall entitle WVRMC to full remedy under the law.

Vendor shall provide, erect and maintain all inventory, furniture, fixtures, canopies, signs, banners or other material and equipment as is appropriate for the business to be conducted. Vendor agrees to set up their area on date/time set and remain on the site for the term thereafter. Vendor sales hours shall be established by the WVRMC Vendor representative at the site. Vendor is responsible for securing his products, goods, inventory and site. Vendor shall not sell or bring alcoholic beverages on the premises. Vendor to maintain space cleanliness during entire show.

Independent Contractor

Vendor is acting in performance of this agreement as an independent
contractor.

Cancellation

Cancellation of reserved vendor space by the Vendor must be submitted in writing, not less than 15 days prior to event. Vendor fees are nonrefundable. In the event that West Valley Rock and Mineral Club is directed to cancel the show due to Covid-19, all agreement fees will be refunded.

Liability Waiver

Vendor agrees to indemnify and hold the West Valley Rock and Mineral Club, City of Buckeye, Buckeye Main Street Coalition, and its board of directors, staff, members, volunteers, agents or representatives harmless from any and all claims or damages of any nature arising from this agreement, including but not limited to claims of damages or loss, or death or injury to persons. The foregoing indemnity shall include attorney’s fees and other costs incurred by the WVRMC in defending against any such claims.

Site

Vendor locations within the event grounds are allotted at the discretion of the WVRMC. All rights and privileges for the use of the site are extended at the pleasure of the WVRMC, who shall retain the right to terminate any Vendor contract for cause or convenience without recourse to the Vendor.

Cleanup

Vendor shall be responsible for cleaning the area used by such vendor and for removing all equipment supplied by vendor in connection with this event. No such equipment may be stored or left on the premises of the event without prior approval of the WVRMC Vendor Representative.

Pets

Pets must be secure during show times and no grooming during show times. Pet waste must be cleaned up immediately.

Parking

Vendor must use parking spaces as designated by the WVRMC Vendor Representative. Parking is located at the West entrance off Miller Road only. RV parking is allowable at the discretion with approval by a WVRMC Vendor representative.
